Terms of Service
Effective October 15, 2026
These Terms of Service ("Terms") are an agreement between KnightWorks Consulting, Inc. ("KnightWorks", "we", "us") and the organization that creates or uses a FacilityRounds account ("Customer", "you"). They cover FacilityRounds at facilityrounds.com, app.facilityrounds.com, demo.facilityrounds.com and any organization subdomain of facilityrounds.com (together, the "Service").
If you accept these Terms for an organization, you confirm that you are at least 18 and have the authority to bind that organization. If you have a separate signed agreement with KnightWorks, that agreement controls where it conflicts with these Terms.
1. Accounts and users
- Your organization's workspace is created when you sign up or when we set it up for you. The person who creates it is its first administrator.
- Administrators decide who joins the workspace and in what role (administrator, inspector, viewer), and are responsible for what those users do in it.
- Keep sign-in details private, and tell us promptly at support@facilityrounds.com if you think an account has been used without permission.
- Give accurate information when you sign up and keep your billing email current.
2. Plans, limits and billing
- Plans. Free, Standard, Pro and Enterprise, with the limits and prices published at facilityrounds.com/#pricing. A "facility" in those limits means an active building in your workspace. Organizations with more than 20 buildings are on Enterprise, priced by written quote.
- Billing. Paid plans are billed in advance, monthly or annually, by card through Stripe, and renew automatically until cancelled. Prices exclude taxes, which we add where required.
- Changes to your plan. You can upgrade, downgrade or cancel from inside the app. A downgrade or cancellation takes effect at the end of the period you've paid for. Payments are non-refundable, except where the law requires otherwise.
- Price changes. We'll give at least 30 days' notice by email before a price increase applies to your plan, and it takes effect at your next renewal.
- Unpaid invoices. If a payment fails and isn't fixed after we tell you, we may move your workspace to the Free plan. Your records stay readable (section 4).
3. The free plan and the live demo
- The Free plan is free for as long as we offer it. We may change its limits with 30 days' notice; your existing records stay readable.
- The live demo at demo.facilityrounds.com is a shared sample organization that resets every night. Don't enter real information there; anything you add is deleted at the next reset.
4. Your data
- You own your data. Everything your organization puts into the Service ("Customer Data"): buildings, checklists, inspection results, comments, readings, photos, documents and equipment records. You give us permission to host, copy, process and display it only as needed to run the Service for you, to support you, and to keep the Service secure.
- We don't sell your data or use it for advertising.
- Export. You can export your records to Excel and PDF at any time while you have an account (exports are included on Standard and above).
- After you cancel. Your workspace moves to the Free plan and your records stay readable. If you ask us in writing (support@facilityrounds.com) to delete your organization's data, we'll delete it within 30 days. Copies in routine backups expire on their normal schedule.
- Locked records. Completed inspections lock and changes are logged. We can't alter your locked records on request except to delete your organization's data entirely.
5. No patient or resident health information
FacilityRounds is built for building and equipment records, not protected health information. Don't enter patient, resident or client health information, names or photos of people into the Service. We don't sign HIPAA Business Associate Agreements, and you are responsible for keeping such information out of your workspace.
6. Acceptable use
You agree not to:
- use the Service for anything unlawful, or to store content you don't have the right to store;
- try to access another organization's data, or test, probe or get around the Service's security;
- copy, resell, or reverse-engineer the Service, or use it to build a competing product;
- put unreasonable automated load on the Service, or upload malware;
- use the demo or sign-up forms to send unwanted email to other people.
We may suspend access that breaks these rules or puts the Service or other customers at risk, and we'll tell you why unless the law or an active security incident prevents it.
7. Support access
Our staff may open your workspace to answer a support request, fix a problem, or keep the Service secure. Support sessions are time-limited, and we only look at what we need to.
8. Our software
KnightWorks owns the Service, its software, the checklist library and templates, and the FacilityRounds name and logo. These Terms give you the right to use the Service while your account is active; they don't transfer any ownership. If you send us suggestions, we may use them without any obligation to you.
9. Availability and changes
We work to keep the Service available but don't promise it will be uninterrupted or error-free, and we don't offer a service-level guarantee on standard plans. We may improve or change features. If a change significantly reduces a paid feature you rely on, we'll give you notice and you may cancel.
10. Compliance stays yours
FacilityRounds helps you record and track safety rounds. It isn't legal, regulatory or compliance advice, and using it doesn't guarantee you'll pass a survey or inspection. The starter checklists are examples; you are responsible for making sure your checklists, schedules and records meet the rules that apply to your facilities.
11. Disclaimers
Except as stated in these Terms, the Service is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
12. Limitation of liability
To the extent the law allows:
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, however caused.
- KnightWorks' total liability arising out of or relating to these Terms or the Service is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim, or $100 if you are on the Free plan or paid nothing in that period.
13. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, don't pay after notice, or if we have to by law. If we stop offering the Service entirely, we'll give at least 60 days' notice so you can export your records.
14. Disputes
- Governing law. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules.
- Talk first. Before starting arbitration, the party with a dispute will email the other a description of it, and both will try in good faith to resolve it within 30 days.
- Binding arbitration. Any dispute that isn't resolved that way will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Collin County, Texas (or by video if both agree). Judgment on the award may be entered in any court with jurisdiction.
- Exceptions. Either party may bring a claim in small-claims court if it qualifies, and either party may ask a court for an injunction to stop misuse of its intellectual property or a security breach.
- No class actions. Disputes are resolved only on an individual basis, not as a class, collective or representative action.
- Fees. Each party pays its own attorneys' fees. Arbitration fees are shared as the AAA rules provide.
15. Changes to these Terms
We may update these Terms. For material changes we'll email account administrators at least 30 days before they take effect. If you keep using the Service after that, the new Terms apply; if you don't agree, you may cancel before they take effect.
16. General
- These Terms (with any order form or signed agreement) are the whole agreement between us about the Service.
- Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of the business.
- Neither party is responsible for delays caused by events beyond its reasonable control.
- If part of these Terms can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it.
- Notices to you go to your administrators' or billing email; notices to us go to support@facilityrounds.com.
